Alright, so this bit is important. These are the terms and conditions for Cornerstone Startup Advisors. They explain the agreement between us and you, our client. We've tried to keep them as straightforward as possible, no complicated jargon, just plain English. If anything's not clear, just give us a shout.
Who We Are
We are Cornerstone Startup Advisors, a UK-based strategic consulting firm for startups. Our office is located at 112 Oxford Rd, Reading RG1 7LL, UK. When we talk about "we," "us," or "our," that's who we mean. We're here to help UK startups find their Product-Market Fit and get ready for investment rounds.
What These Terms Cover
These terms set out the rules and agreement between you (the client, or "you") and us when you use our services. By agreeing to work with us, you're agreeing to these terms. It's all about making sure we're on the same page.
Our Services
We provide strategic consulting for startups. This includes helping you figure out your Product-Market Fit and preparing your project for investment rounds. We'll agree on the specific services we'll provide for you in a separate proposal or statement of work. We aim to give practical, no-nonsense advice.
What You Need To Do (Your Responsibilities)
- Be honest and open: We need you to give us all the accurate and necessary information about your startup so we can do our best work.
- Timely feedback: We'll need your input and decisions at various stages. Delays from your side might affect project timelines.
- Work with us: Our best results come from a good partnership. Be ready to actively participate in the process.
Fees and Payment
Our fees will be set out in the specific proposal we give you for your project. We'll explain the payment schedule clearly. Unless otherwise agreed, payments are due within 14 days of the invoice date. If payments are late, we might have to pause work until things are sorted. All prices quoted are in Great British Pounds (£) and are subject to VAT if applicable.
Confidentiality
We understand your startup's information is sensitive. We promise to keep all your business information confidential and won't share it with anyone outside our team, except when it's needed to provide our services (and with your knowledge) or if we're legally obliged to. We expect you to keep our discussions and advice confidential too.
Ending Our Agreement
Either you or we can end our agreement with 30 days' written notice. If you end the agreement, you'll need to pay for any work we've already done up to the termination date. We hope it never comes to this, but it's good to know where we stand.
Limits on Our Responsibility
We'll always do our best to help your startup succeed, but we can't guarantee specific outcomes, like securing investment or achieving a particular valuation. Our advice is based on our experience and the information you provide. We won't be held responsible for any loss or damage that comes from following our advice or from things outside our direct control. Our total liability to you will not exceed the amount you have paid us for our services.
The Law That Applies
These terms and any disputes arising from them will be governed by the laws of England and Wales. If there's ever a disagreement that we can't sort out amicably, the courts of England and Wales will have exclusive jurisdiction.
Changes to These Terms
We might need to update these terms from time to time. If we do, we'll put the new version on this page and update the 'last updated' date below. It's a good idea to check back occasionally to see if anything's changed, especially before starting a new project with us.
